1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at bngpestcontrol.com (the "Site"), operated by BNG Exterminators ("BNG Exterminators," "we," "us," or "our"), and, to the extent described in Section 3 below, your engagement of pest control services from BNG Exterminators.

By accessing or using the Site, requesting a quote, scheduling a service, or otherwise engaging BNG Exterminators in any capacity, you ("you," "your," or "Customer") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not use the Site or engage our services.

You must be at least 18 years of age, or the age of majority in your province of residence, to engage BNG Exterminators for services or to enter into any agreement referenced by these Terms. The Site itself is a general-audience informational resource.

2. Use of This Website

The Site is provided for the purpose of informing visitors about BNG Exterminators' pest control services and service area, and for facilitating initial contact by telephone or email. The Site does not contain any form submission, account creation, e-commerce, or booking functionality.

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use of the Site. Prohibited uses include, without limitation:

• Attempting to gain unauthorized access to the Site, its underlying code, or any systems or networks connected to the Site
• Using any automated system, including "robots," "spiders," or "offline readers," to access the Site in a manner that sends more requests than a human could reasonably produce, or for the purpose of scraping content
• Introducing any virus, malware, or other harmful material to the Site
• Misrepresenting your identity or affiliation with any person or entity
• Using the Site in any way that violates applicable federal, provincial, or municipal law
• Reproducing, duplicating, copying, or reselling any portion of the Site in violation of Section 12 (Intellectual Property)

We reserve the right, at our sole discretion, to restrict or terminate your access to the Site at any time, without notice, for any reason, including violation of these Terms.

3. Relationship Between This Site and Actual Services

This is an important clause. Please read it carefully.

This Site is an informational and marketing resource. Nothing on this Site — including descriptions of services, pricing statements, guarantee statements, or any other content — constitutes a binding offer, contract, or guarantee of service. No contractual relationship for pest control services is formed by your use of this Site, by requesting a quote, or by any statement made on this Site.

A binding agreement for pest control services is formed only when: (a) BNG Exterminators provides you with a specific quote for identified services at your property, whether verbally or in writing, and (b) you accept that quote and BNG Exterminators confirms and performs the corresponding service. The specific scope, price, and terms of that engagement — including any warranty or guarantee applicable to it — are as communicated to you directly by BNG Exterminators at the time of quote and booking, and, to the extent they conflict with general statements on this Site, those direct communications control.

General statements on this Site (for example, regarding the 6-month guarantee, service area, or treatment methods) describe our typical practices and are provided for informational purposes. They do not modify, expand, or override the specific terms communicated to you for your particular service engagement.

4. Nature of Pest Control Services

You acknowledge and agree to the following regarding the nature of professional pest control services generally:

• Pest control services are intended to manage, treat, and reduce pest activity. They do not guarantee the complete, permanent, or immediate elimination of all pests from a property.
• Pest recurrence or re-infestation may occur due to factors outside BNG Exterminators' control, including but not limited to: structural conditions of the property, sanitation practices, conditions on neighbouring properties, seasonal or environmental factors, the presence of conducive conditions (moisture, food sources, entry points) that the Customer does not remediate, and the biology and behavior of the pest species involved.
• Treatment methods, including gel-based applications and other low-disruption techniques, are selected based on professional judgment for the specific pest and property conditions, and their effectiveness can vary based on factors including but not limited to the extent of infestation, property conditions, and Customer cooperation with any pre- or post-treatment recommendations.
• BNG Exterminators makes no representation that any specific treatment will resolve an infestation in a single visit.

5. Quotes, Pricing, and Payment

Pricing for pest control services is not published on this Site and is determined on a case-by-case basis according to factors including the pest involved, the size and condition of the area to be treated, and property type (residential or commercial). Quotes provided by telephone or in person are estimates based on the information available at the time and may be adjusted if actual conditions differ materially from what was described or observed.

Payment terms, accepted payment methods, and any deposit requirements will be communicated to you directly at the time of booking or service. Failure to pay for services rendered may result in collection action, and Customer agrees to be responsible for reasonable costs of collection, including legal fees, to the extent permitted by law.

6. Service Guarantee

BNG Exterminators offers a 6-month service guarantee on treatments as described at the time of service. Unless otherwise stated in writing at the time of booking, this guarantee means that if the specific pest treated returns to the treated area within 6 months of the service date, BNG Exterminators will return to re-treat that area at no additional charge, subject to the following conditions:

• The guarantee applies only to the specific pest(s) and area(s) originally treated, not to unrelated pest issues or newly introduced infestations
• The Customer must notify BNG Exterminators of recurring pest activity within a reasonable time of observing it
• The guarantee may be void or reduced if the Customer has, since the original treatment, undertaken renovations, structural changes, or activities that disturb the treated area, or has failed to maintain conditions reasonably necessary to prevent re-infestation (such as ongoing sanitation or moisture control)
• The guarantee does not cover damage caused by pests, whether before, during, or after treatment, and does not constitute a warranty against property damage of any kind
• The guarantee is limited to re-treatment services and does not include, and shall not be construed to include, any monetary refund, compensation, or damages of any kind

This guarantee is the sole and exclusive remedy available to Customer for pest recurrence, to the fullest extent permitted by law.

7. Customer Obligations

To enable safe and effective service, the Customer agrees to:

• Provide accurate information about the pest issue, property conditions, and property access when requesting a quote or scheduling service
• Provide safe and reasonable access to the property and treatment areas at the scheduled service time
• Disclose any known hazards on the property, including but not limited to structural instability, aggressive animals, occupants with relevant health conditions (e.g., chemical sensitivities, respiratory conditions, pregnancy), or any condition that may affect the safety or method of treatment
• Follow any pre-treatment or post-treatment instructions provided by BNG Exterminators or its technicians
• Secure or remove pets, children, food items, and personal belongings from treatment areas where instructed to do so
• Not interfere with, alter, or remove any pest control materials, traps, bait stations, or devices placed by BNG Exterminators without our knowledge and consent

BNG Exterminators is not responsible for any delay, service limitation, or diminished treatment outcome resulting from the Customer's failure to comply with these obligations, and any such failure may void applicable service guarantees.

8. Disclaimers of Warranties

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of any information on the Site, including service descriptions, service area listings, and general guarantee terms, which are provided for general informational purposes and are subject to change without notice.

Except as expressly set out in a specific written service agreement or quote provided directly to a Customer, BNG Exterminators disclaims all warranties, express or implied, regarding the pest control services themselves, including any implied warranty that services will eliminate all pests or prevent all future pest activity.

Nothing in this Section 8 is intended to exclude or limit any warranty or condition that cannot lawfully be excluded or limited under applicable Ontario or federal consumer protection legislation.

9. Limitation of Liability

Subject to applicable law, and to the extent liability cannot be excluded entirely, BNG Exterminators' total aggregate liability to any Customer arising out of or related to services performed shall not exceed the total amount actually paid by the Customer to BNG Exterminators for the specific service giving rise to the claim.

BNG Exterminators is not liable for:

• Pre-existing damage or conditions on the property, whether or not disclosed to us prior to service
• Damage caused by the pests themselves, before, during, or after treatment
• Any failure to eliminate pests where the Customer has not complied with the obligations in Section 7
• Any indirect or consequential loss, including loss of business income, arising from an infestation or from treatment
• Acts or omissions of third parties, including neighbouring property owners, contractors, or utility providers
• Any damage arising from conditions or hazards not disclosed to us by the Customer prior to service

Nothing in these Terms limits or excludes BNG Exterminators' liability for death or personal injury caused by our proven negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under the laws of Ontario or Canada.

10. Indemnification

You agree to defend, indemnify, and hold harmless BNG Exterminators, its owner, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; (c) your misuse of the Site; or (d) inaccurate, incomplete, or misleading information you provided to us in connection with a quote or service request.

11. Release of Claims

Except to the extent arising from BNG Exterminators' gross negligence or willful misconduct, you release and forever discharge BNG Exterminators, its owner, employees, contractors, and agents from any and all claims, demands, actions, or causes of action, whether known or unknown, arising out of or related to pre-existing property conditions, pest-caused damage, or any other loss, injury, or damage in, upon, or about the property where services are performed, to the fullest extent permitted by applicable law.

12. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, and the design, layout, and "look and feel" of the Site, is the property of BNG Exterminators or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws, except where otherwise noted.

You may view and print pages from the Site for your own personal, non-commercial use, provided you do not modify or remove any copyright or proprietary notice. You may not reproduce, distribute, publicly display, publicly perform, or create derivative works from any content on this Site for commercial purposes without our prior written consent.

The BNG Exterminators name and any associated logos are trademarks or trade names of BNG Exterminators. Nothing on this Site should be construed as granting any license or right to use any trademark without our prior written permission.

13. Third-Party Links and Services

This Site may contain links to third-party websites or reference third-party services (including Google Analytics, as described in our Privacy Policy). We do not control and are not responsible for the content, accuracy, or practices of any third-party website or service. Inclusion of any link does not imply endorsement. Your use of any third-party website or service is at your own risk and subject to that third party's own terms and policies.

14. Cancellation and Termination

Cancellation or rescheduling terms for a booked service appointment will be communicated to you directly at the time of booking. Unless otherwise agreed in writing, BNG Exterminators reserves the right to charge a reasonable fee for cancellations made with insufficient notice, or for missed appointments where the Customer is not present or does not provide access at the scheduled time.

We reserve the right to decline or discontinue service to any Customer, at our discretion, including where continuing to provide service would pose a safety risk to our technicians, where the property presents conditions beyond the scope of standard pest control practice, or where payment obligations have not been met.

15. Force Majeure

BNG Exterminators shall not be liable for any delay or failure to perform any obligation under these Terms or any service agreement where the delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, severe weather, natural disaster, pandemic or public health emergency, labour disputes, supply chain disruption, government action or regulation, or other events of a similar nature.

16. Dispute Resolution

If a dispute arises out of or relates to these Terms or services provided by BNG Exterminators, the parties agree to first attempt in good faith to resolve the dispute through direct negotiation between the parties for a period of no less than thirty (30) days before pursuing formal legal action or other proceedings.

Nothing in this Section is intended to prevent either party from seeking urgent injunctive or equitable relief where reasonably necessary, or from exercising any right that cannot be waived under applicable Ontario or federal consumer protection law.

17. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Site shall be brought exclusively in the courts located in Ontario, Canada, and you irrevocably submit to the personal jurisdiction of such courts.

18. Severability and Waiver

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of that term or any other term, and BNG Exterminators' failure to assert any right or provision under these Terms shall not constitute a waiver of that right or provision.

19. Changes to These Terms

We reserve the right to modify these Terms at any time, at our sole discretion. Changes will be posted on this page with a revised "Last Updated" date. Your continued use of the Site following the posting of any changes constitutes acceptance of those changes. Terms applicable to a specific service engagement are those in effect, or as separately agreed in writing, at the time that service was booked.

20. Entire Agreement

These Terms, together with our Privacy Policy and any specific written quote or service agreement provided directly to a Customer, constitute the entire agreement between you and BNG Exterminators regarding use of the Site and, where applicable, the services described, and supersede any prior or contemporaneous understandings, whether written or oral, regarding that subject matter. In the event of a conflict between these Terms and a specific written service agreement signed by both parties, the specific written service agreement shall govern with respect to the service it covers.
